Inledning

Dessa Allmänna Villkor gäller utan reservation eller begränsning för alla tjänster som EcoTree erbjuder på sin webbplats för olika erbjudanden och inköp av träd, för såväl privatpersoner som för juridiska personer under privaträtt.

EcoTree erbjuder förvärv av olika trädarter spridda över olika skogsområden, antingen som engångsköp eller i form av prenumerationer.

De Allmänna Villkoren har för syfte att definiera användarvillkoren för EcoTrees webbplats och de kontraktuella relationer som råder mellan Webbplatsen och Köparen.

För att få tillgång till EcoTrees webbplats krävs det att användaren tar del av och godkänner de Allmänna Villkoren.

Ändringar av dessa Allmänna Villkor kan kontesteras av sajtens användare från och med att de publicerats online, detta gäller dock inte för redan avklarade affärer.

Produkt" avser ett träd, både dess art, skogsområdet som det växer i och dess GPS-koordinater
Erbjudande" avser de olika Produkter som erbjuds till förvärv samt de olika sätt som de kan förvärvas på
Tjänster" avser alla produkter och tjänster som erbjuds till försäljning eller som prenumeration av EcoTree på deras hemsida
Köpare" avser varje fysisk eller juridisk person som har loggat in på webbsidan och öppnat ett användarkonto även kallat Mitt Konto
Användarkontot eller Mitt Konto" avser den del av webbplatsen som skapats av Köparen, och kan endast förfogas över genom den säkerhetskod som utfärdats vid skapandet av kontot " Gallring" innebär avverkning av träd innan de uppnått mogen ålder, gallringen ger utrymme åt de friska träden så att de kan fortsätta växa
Mognad" innebär att trädet nått slutet av sin livscykel och är klart för avverkning och träproduktion
Avverkningspris" avser försäljningspriset på träden i ett skogsområde som uppnått mognad
Order" avser förvärv av en Produkt som beställts och godkänts av Köparen på EcoTrees webbplats
Allmänna Villkor" hänvisar till de föreliggande Allmänna Villkoren gällande försäljning och användning som Köparen accepterar när hen skapar ett användarkonto och förvärvar en Produkt på EcoTrees webbsida
Användare" avser varje person som besöker EcoTrees webbplats innan något förvärv av Produkt har gjorts på webbplatsen 
Webbplats" avser den Internetsida som publiceras av EcoTree där användarna har möjlighet att förvärva EcoTrees produkter
Kundservice" avser den service inom företaget som hanterar relationer med Köpare liksom varje person som besöker webbplatsen och söker efter information om EcoTrees produkter och tjänster
Trovärdig Tredjepart" avser en fysisk person som varje Köpare utser och ansluter till sitt användarkonto när det skapas.

Det specificeras att uttrycket "Skogsområde" handlar om en del av skogen (ett skogsparti), delvis ett område som är kopplat till en insats och en skogsbruksplan under en förutbestämd tidsperiod. Varje år i denna plan överensstämmer med "en division". EcoTrees ekonomiska modell (rätten till avkastning efter avverkning) är kopplad till detta skogpartis skala. (En skogsbruksplan är de olika åtgärder som krävs för att uppnå ett visst mål i ett visst sammanhang.) Dessa villkor gäller från den 4 augusti 2020. Denna version avslutar och ersätter tidigare versioner av villkoren.

Användare uppmanas att noggrant läsa igenom de Allmänna Villkoren, som finns tillgängliga via hyperlänk på varje sida av EcoTrees webbplats. 

Användare rekommenderas att ladda ner och skriva ut Villkoren och spara en kopia.

Inköpen av produkter är reserverade till användare som har skapat ett Användarkonto och därmed accepterat dessa Allmänna försäljningsvillkor i sin helhet genom ett klick.

Det uttryckliga godkännandet av dessa Allmänna försäljningsvillkor bekräftas genom att skapa ett EcoTree-konto, logga in på ett EcoTree-konto eller genom att klicka på länken som skapats för detta ändamål.

Eftersom de Allmänna Villkoren när som helst och utan förvarning kan ändras är det nödvändigt att Köparen läser igenom de allmänna villkoren vid varje tillfälle som en ny produkt förvärvas, i synnerhet för att försäkra sig om de gällande avtalsbestämmelserna.

Artikel 1: Användarkonto

För att beställa en produkt på EcoTrees hemsida måste användaren vara minst 18 år gammal, rättsligen kunna ingå avtal och vara i stånd att bruka den aktuella webbplatsen enligt de Allmänna Villkoren.

Användaren måste skapa ett Användarkonto genom att fylla i ett onlineformulär och alla dess obligatoriska fält.

EcoTree förbehåller sig rätten att via e-post acceptera eller avvisa nya användarkonton utan vidare förklaring.

För att säkra den personliga informationen som registreras på kontot, inbjuds användaren att välja ett lösenord när hen skapar sitt konto.

När kontot skapats, accepterar användaren att hålla sitt lösenord hemligt och privat.

Om så inte är fallet kan EcoTree inte hållas ansvariga för eventuell obehörig tillgång till kundens konto.

Användaren är skyldig att uppge korrekt och sanningsenlig information.

Användaren förbinder sig att regelbundet uppdatera sina uppgifter för kontot.

När kontot väl skapats kan det användas när som helst. Kunden kan via sitt konto regelbundet följa uppdaterad information om:
• Värdet i euro för de träd som förvärvats och för såväl punktliga inköp som för prenumerationer.
• Information som gör att skogarnas nytta som ekosystemtjänster kan mätas.

Köparen kommer att informeras (antingen genom sin kundsida, nyhetsbrev eller den årliga skogsbruksrapporten) om de åtgärder som sker i det skogsområde där hens träd växer.

I varje fall där bedrägeri inte tydligt kan bevisas är användaren själv ekonomiskt ansvarig för användningen av kontot i sitt eget och andras namn, inklusive minderåriga.

Bedrägeri eller annan användning av webbplatsens tjänster som strider mot de Allmänna Villkoren kan medföra att EcoTree vägrar den berörda användaren tillgång till de tjänster som erbjuds på webbplatsen.

EcoTree förbehåller sig rätten att tillfälligt avbryta tillgången till användarkonton i händelse av tekniska problem eller underhållsarbete.

Artikel 2: Utse en Tredje Part

Varaktigheten av de tjänster som EcoTree erbjuder sträcker sig över en tidsperiod som helt och hållet avgörs av produktens livscykel.

Enligt artikel 10 i dessa Allmänna Villkor, förvärvar köparen:
 • äganderätt till ett eller flera träd (lös egendom enligt artikel 521 i franska civillagen); och
 • rätten till intäkterna som genereras vid slutavverkningen av träd i det relevanta skogsområdet som nått sina skördedatum, samtidigt
 • ger hen EcoTree sitt godkännande till att sköta träden de förvärvat och sedan betala ut avkastningen från skörden, efter att den skett.

Det kan ta mellan tio och sjuttio år innan de förvärvade träden blir fullvuxna. Trädens tillväxt och mognad sker oberoende av köparens livslängd.

För att skydda sina kunders rättigheter begär EcoTree därför att de utser en betrodd tredje part när de skapar sitt konto. Hen förbinder sig att varje år förnya denna nominering vid årsdagen för skapandet av användarkontot.


EcoTree tar å sin sida ansvar för att informera sina kunder om att uppgifterna behöver uppdateras.
När trädet/träden når skördedatumet tar EcoTree ansvar för att kontakta trädägaren och/eller dess betrodda tredje part för att ge dem deras förväntade avkastning. Om det saknas en förmånstagare kommer EcoTree att placera summan hos en finansiell tredjepart i ett konto som finns till för detta syfte, där berörda parter sedan kan göra anspråk på den enligt villkoren och tidsramen som specificeras i lagen.

Artikel 3: Gör en beställning

För att beställa produkter på EcoTreess webbplats måste användaren skapa ett användarkonto, även kallat personligt konto, och i samband med skapandet av detta konto, acceptera de Allmänna Villkoren.

Beställningen görs i följande ordning:

1. Användaren utför en sökning på webbplatsen
2. Som ett resultat av sökningen, erbjuder webbplatsen användaren en eller flera produkter som ska förvärvas antingen som punktliga inköp eller i form av prenumeration, för egen del eller i uppdrag av tredjepart
3. Användaren klickar på den / de valfria produkterna
4. En sammanfattning som presenterar hans eller hennes val och det totala priset av Produkten/erna tillåter användaren att kontrollera detaljerna i ordern
5. Användaren måste då se till att all information som visas, och i synnerhet informationen i de obligatoriska fälten i orderformuläret, stämmer överens med hens uppgifter och instruktioner. Vid ett punktligt köp måste kunden därför kontrollera de valda arterna, antalet produkter samt skogsområdet där den/de valda produkten/erna finns belägna. Denna information kan inte ändras efter att ordern godkännts
6. Användaren måste godkänna beställningen
7. När beställningen har bekräftats av Användaren och av den banktjänst genom vilken ordern placerats, är kontraktet giltigt och har ingåtts med köparen
8. Online-ordern, som utförs i säkerhet, avslutas med godkännandet av avtalet
9. EcoTree skickar en orderbekräftelse via e-post så snart som möjligt och senast fem dagar efter beställning. E-postmeddelandet bekräftar beställningen och listar dess innehåll, till exempel detaljerna i de beställda Produkterna och orderns pris och kvantitet.

All information som finns i bekräftelsemeddelandet utgör bevis på orderns innehåll, såvida köparen själv inte bestrider detta genom rekommenderat brev inom 8 dagar.

Om köparen inte erhåller orderbekräftelse är det hens ansvar att kontakta EcoTree genom det standardformulär som finns tillgängligt för detta ändamål på webbplatsen.

Det är Köparens ansvar att den personliga informationen (identitet, e-postadress, postadress, etc.) är korrekt. Om ändringar rörande personuppgifter kan påverka beställningen är det köparens ansvar att uppdatera sin information via formuläret på hemsidan och säkerställa att hen själv kommer att tilldelas förmånen av de beställda produkterna.

Köparen gör alla nödvändiga ändringar av den tidigare uppgedda informationen vid skapandet av användarkontot.

Artikel 4: Frakt och Leverans

För den typ av produkter som EcoTree marknadsför finns det ingen leverans, eftersom köparens förvärvade träd är ämnade för avverkning när mognad uppnåts.

Det kommer därför inte att äga rum någon överföring som sådan av de förvärvade produkterna. Men när beställningen har bekräftats av köparen och den elektroniska betalningen har godkänts av den relevanta banktjänsten kommer äganderätten att överlåtas för den eller de produkter som berörs av transaktionen.

Köparen mottar en faktura på ordern som innehåller:
• Beställningsdatum
• Beställda arter
• Kvantiteten
• Skogsområdena där produkterna är belägna
• Betalt pris

Fakturan kan laddas ned på köparens personliga konto och fungerar som intyg om överlåtelsen av äganderätten och dess relaterade risker.

När en användare har beställt och betalat en order för utomstående, skickas ett kvitto till mottagarens e-postadresse med samma innehåll, men utan information om priset.

Om mottagaren är minderårig, vilket användaren åtar sig att precisera vid beställning, måste användaren uppge en e-postadress till en giltig representant för den minderårige (målsman) i det formulär som tillhandahålls för detta ändamål på webbplatsen.

Ett dokument med ovan information (med undantag för priset), skickas till den juridiska representantens e-postadress.

Artikel 5: Bevismaterial

Det är härmed uttryckligen överenskommet att, såvida inte EcoTree begår ett uppenbart misstag, så kommer de uppgifter som lagras i EcoTrees informationssystem, i synnerhet de elektroniska meddelandeverktygen som används av företaget, att utgöra ett slutgiltigt bevis på de beställningar som köparen utfört och de kontraktsskyldigheter som därav följer och som måste följas av alla parter.

Data som lagrats elektroniskt av företaget EcoTree utgör bevis och, i det fall de skulle framställas som bevis av företaget EcoTree i någon form av tvist ska de tillåtas, gälla och verka mellan parterna under samma villkor, och med samma bevisstyrka som vilket annat fysiskt dokument som skulle ha mottagits och sparats.

Artikel 6 : Ångerrätt

Köparen informeras om att hen (enligt artiklarna L121-20-12. ur den franska konsumentkoden), har rätt att utnyttja sin ångerrätt av den beställda ordern.

Köparen har fjorton dagar på sig att avbryta sin order utan någon närmare motivering. (artiklarna L121-20-12, ur franska konsumentlagen).

Ångerperioden räknas från det att ordern bekräftats och godkänts av relevanta banktjänster.

Ånger av ordern utförs genom det formulär som tillhandahålls för detta ändamål på webbplatsen.

EcoTree bekräftar sitt mottagande av begär om återkallande av order med ett e-postmeddelande.

Artikel 7: Lämna ett omdöme eller en kommentar online

Varje Köpare kan lämna en recension på EcoTrees webbplats. Om det är en individ måste personen i fråga vara berättigad att skriva kontrakt och använda webbplatsen enligt de allmänna villkor som finns i detta kontrakt.

Personen måste personligen ha realiserat ett köp av någon produkt från webbplatsen. Online-kommentarer är därför reserverade åt Köpare.

Personen får inte befinna sig i en intressekonflikt med EcoTree.

Personen måste fylla i ett formulär för ändamålet.

Av de uppgifter som efterfrågas i formuläret kommer endast användarens förnamn och bostadsort att offentliggöras på webbplatsen. Innehållet som publiceras på webbplatsen är märkt som "Verifierade meddelanden", vilket innebär att EcoTree har kontrollerat att köparen placerat en order på webbplatsen och betalat för dessa produkter innan kommentaren publiceras på webbplatsen.

Den e-postadress som lämnats för publiceringen av kommentarer online måste vara giltig så att Köparen vid behov kan identifieras eller kontaktas personligen för att verifiera äktheten i hens vittnesbörd.

EcoTree måste omedelbart, via ett e-postmeddelande, informeras om eventuellt missbruk eller bedrägeri förekommer gällande den e-postadress som lämnats för publicering av ett meddelande.

Köparen kan när som helst begära att hans eller hennes bidrag raderas genom att skicka ett e-postmeddelande till EcoTree, som sedan behandlar en sådan förfrågan så fort som möjligt.

En onlinekommentar publiceras på webbplatsen inom cirka 72 timmar efter att den registrerats. De kan sedan läsas av alla besökare eller användare på EcoTrees webbplats.

Kommentarerna visas kronologiskt från det nyast inkomna till det äldsta allteftersom de registreras.

Kommentarerna hanteras allteftersom de tas emot av EcoTree.
EcoTree strävar efter att publicera innehållet i kommentarerna så som de mottagits från kunden.

Webbsidans sorteringssystem tillåter emellertid EcoTree, att efter eget gottfinnande och utan förvarning, ta bort hela eller delar av publicerat innehåll som bryter mot gällande lagstiftning.

EcoTree förbehåller sig rätten att, efter eget gottfinnande, bestämma om vilket innehåll som publiceras på sin webbplats, liksom att ta bort allt obegripligt eller olagligt innehåll ( obscena, rasistiska, sexistiska eller förolämpande publikationer, eller innehåll som strider mot patent, varumärkes eller reklamrätten eller den personliga integriteten).

Köparen som lämnar en kommentar på webbplatsen ansvarar för att: 
- dess innehåll är både relevant och av kvalitet, det vill säga prydligt och passande för webbplatsen 
- innehållet respekterar de allmänna villkoren
- använda samma e-postadress för sin onlinekommentar som hen använt vid skapandet för användarkontot 

Köparen är ensam ansvarig för innehållet som hen publicerar på webbplatsen och för att innehållet följer de allmänna villkoren. EcoTree kan under inga omständigheter hållas ansvarig för innehållet av en kunds publicering, eller för fel eller misstag som begåtts av kunden.

EcoTree förbehåller sig rätten att omedelbart och utan förvarning ta bort innehåll som strider mot dessa användarvillkor.

EcoTree kan inte hållas ansvarig för några fördomar, direkt eller indirekt, som uppstår till följd av kommentartjänsten, och oberoende av orsak.

Köparen är därmed ensam ansvarig för alla eventuella skador som skulle kunna uppstå i samband med brott mot de restriktioner som anges i denna artikel, eller för andra skador som kan uppstå i och med offentliggörandet av en kommentar på webbplatsen.

EcoTree förbehåller sig också rätten att tillfälligt upphäva tillgången till webblpatsens kommentartjänst, särskilt vid tekniska problem eller för underhållsändamål.

Artikel 8: Våra erbjudanden

Företaget EcoTree erbjuder fyra olika sätt att inhandla produkter på från deras webbplats:
• Det punktliga inköpet för egen vinning av en viss trädart i ett identifierat skogsområde,
• Det punktliga inköpet åt någon annan av en specifik trädart i ett identifierat skogsområde,
• Anmälan till prenumeration för egen vinning eller åt någon annan.
• Förvärv av träd för plantering under kommande planteringssäsong. Ett urval görs av arter och skogsområden som erbjuds på webbplatsen.

Kunden erbjuds också möjligheten att finansiera flera projekt vars syfte är att bevara eller skapa biologisk mångfald som en del av projektet "biologisk mångfald". Kunden informeras om att denna finansiering är en donation, och den är inte giltig för skattereduktion. EcoTree disponerar över alla kunders donationer till gagn för de föreslagna projekten.

Trädprenumerationen tillåter Köparen att förvärva träd varje månad, utvalda av EcoTree: Köparen ger EcoTree sitt godkännande för att välja ut specifika arter som läggs till användarkontot. Köparen som anmält sig till en prenumeration väljer en summa för månadsbeloppet och det konto från vilket hen vill bli debiterad. Varje månad läggs nya, av EcoTree utvalda träd, till köparens konto eller till det konto som köparen anmält prenumerationen till.

En faktura som informerar köparen om detaljerna i hens beställning laddas upp på köparens konto eller på kontot för den person som hen har valt att betala för. Fakturan anger antalet nya träd, deras art, liksom den skog de befinner sig i. Ett liknande dokument, innehållande en inventering av de köpta träden men utan priset, blir tillgängligt på mottagarens användarkonto så snart ett sådant konto har registrerats.

När Köparen har gjort ett förvärv, genom punktligt inköp eller månatlig prenumeration å andras vägnar, ska hen ange på webbplatsen i de fält avsedda för detta ändamål, vem prenumerationen eller det punktliga inköpet gäller enligt bestämmelserna i artikel 3 om tillfälligt förvärvade produkter eller prenumerationer för minderåriga.

Vid förvärv åt någon annan måste köparen ange mottagarens e-postadress. Ett e-postmeddelande skickas samma dag som beställningen eller vid ett senare tillfälle på köparens begäran. Det här e-postmeddelandet innehåller en presentkod som ska anges och instruktioner som förklarar för mottagaren hur hen får tillgång till de förvärvade träden.

Presentkoden, som förverkligar köp av ett eller flera träd och / eller en eller flera prenumerationer, gäller upp till ett år från utfärdandet. Koden är nominativ, ej återbetalningsbar och ej utbytbar. Ingen förlängning av utgångsdatumet kommer att tillåtas och inget undantag till den tidigare nämnda regeln kommer att tillåtas med undantag för en återkallelse som begärts av köparen. Om presentkoden inte används inom den tidsfrist som anges på köparens faktura eller på mottagarens kvitto, har varken köparen eller mottagaren rätt till återbetalning.

Med undantag för företag vars åtagande gäller för minst ett år (förnybart), har Köparen rätt att säga upp sin prenumeration när som helst genom ett enkelt e-postmeddelande som skickas till EcoTree. Avbeställningen av prenumerationen träder i kraft senast tre dagar efter att begäran inkommit (sändningsdatumet tas som bevis). Köparen förblir ägare till de träd hen hittills förvärvat.

Alla privata kunder (och de som redan anmält sig före det angivna datumet) som anmäler sig till en trädprenumeration från och med den 25 maj 2018, garanterar EcoTree följande förmåner, utan retroaktiv verkan:

  • Exklusiv tillgång på sällsynta arter med kortare avverkningshorisont.
  • Varje år erbjuds ett antal träd, beroende på hur många träd kunden prenumererat på varje månad. EcoTree gör kunden uppmärksam på att priset på träden som skänks bort förblir konfidentiellt. EcoTree informerar också kunden om att denna förmån endast kommer att beviljas om EcoTree mottagit tolv, på varandra följande betalningarna av samma summa, så som krävs enligt bestämmelserna om prenumerationer.
  • För kunden reserverade bloggartiklar för att upptäcka skogens värld.
  • Ett direktnummer till våra grundare.

Dessa bestämmelser gäller inte företagsprenumerationer.

Artikel 9: Värva en vän

EcoTree erbjuder kunder möjlighet att uppmuntra andra personer (privatpersoner och yrkesverksamma) att prenumerera på ett av sina erbjudanden i utbyte mot vissa förmånliga erbjudanden.

Värvaren måste vara en aktiv kund hos EcoTree som utnyttjat minst ett av EcoTrees erbjudanden.

Privata kunder har möjlighet att värva en eller flera personer, men antalet träderbjudanden är begränsat till 5.

För att värvningen ska vara giltig måste värvningskoden anges före registreringen.

När en eller flera värvade medlemmar har köpt 10 träd (via beställningar eller prenumerationer) får värvaren ett gratis träd på sitt konto.

Att värva sig själv eller personer inom samma hushåll är inte tillåtet. Den värvade måste ha en annan e-postadress och faktureringsadress än sin värvare och andra värvade medlemmar. Endast slutanvändaren av produkten kommer att betraktas som värvad. Den värvade måste använda ett eget betalningsmedel (om den värvade använder samma kreditkort som sin värvare, betraktas inte värvningen som giltig). Värvningen sker inom den privata sfären. Den värvade måste vara bekant med, vän eller släkting till värvaren. Låtsasordrar i syfte att öka antalet värvade räknas inte.

EcoTree förbehåller sig rätten att granska värvningsinformationen. Deltagare i värvningsprocessen (värvare och värvad) måste godkänna alla kontroller gällande deras värvning. Om tvister uppdagas efter verifikation kan godkännandet avvisas.

Det slutgiltiga godkännandet av värvningen sker först efter att tiden för juridiskt återkallande löpt ut.

Artikel 10: Avtal och kontrakt mellan EcoTree och dess kunder

EcoTrees sociala syfte är att utveckla innovativa koncept som fokuserar på en hållbar utveckling, särskilt trädplantering och skogsförvaltning med syftet att sälja till privatpersoner och / eller företag.

I detta syfte förvärvar EcoTree regelbundet träd av olika arter och i olika skogsområden som, beroende på skogsområdet, antingen görs via sin skogsbruksgrupp "PROMENONS-NOUS-DANS-LES-BOIS" (skogskonsortium), eller från tredjepartsägare. EcoTree försäkrar skötseln och tillväxten av träden åt sina kunder för att när de når sin mognad organisera lämplig avverkning.

EcoTrees ekologiska modell bygger på bevarandet av ekosystemet. Syftet är att förvalta skogsresurser på ett hållbart sätt för att bevara skogens biologiska mångfald. Vi strävar efter att träden så långt som möjligt kan klara av självföryngring, och värnar om deras nuvarande och framtida vitalitet. Samtidigt värnar vi om jordens och vattnets kvalitet i våra skogar.

Genomförandet av denna policy har lett till att EcoTree inrättar en förvaltningsstrategi som sätter ett mycket högt värde på skogen.

Arbetet med att värdesätta skogen, vilket är EcoTrees uppgift, för egen del och för sina Köpares, innebär ibland gallring och sovring av yngre träd som ännu inte nått mogen ålder.

I parternas avtalsmässiga åtaganden utgör Köparna å ena sidan och EcoTree å andra sidan ett avtalspaket där Köparen:

  • förvärvar ägande av ett eller flera träd (lös egendom, enligt fransk rättspraxis enligt artikel 521 i civillagen) och ger EcoTree mandat att vårda de träd de köpt och sedan betala ut avkastningen från skörden, då den så småningom skett.

Genom detta kontrakt förvärvar köparen ägandet av en lös egendom enligt fransk rättspraxis och artikel 521 i civillagen, i detta fall ett träd avsett för avverkning.

EcoTree vill göra kunden uppmärksam på att den förvärvade egendomen, enligt fransk civilrätt är kvalificerad som "droit de superficie", vilket i viss mån motsvarar ett "hyreshus". På detta vis möjliggörs försäljningen av träd att separera ägandet i två, nämligen skogsmarken (bottendelen) och träden som växer på marken (den övre delen).

 

EcoTree drar vidare kundens uppmärksamhet till de särskilda befogenheter som ges till kunder som äger träd på samma skogsområde. Varje kund äger både ett träd och en bråkdel av området som inkluderar alla träd som ligger i samma område. Som sådan har varje kund en andel av försäljningen vid avverkning av mogna träd på området i fråga. Varje kund går korrelativt med på att inte dra nytta av intäkterna som genereras endast av sitt eget träd (gallring eller avverkning vid mogen ålder).

 

Även i händelse då träden av någon anledning försvinner, kommer äganderätten enligt denna artikel, överföras från tredje part till en del av intäkterna från den slutliga avverkningen av träd som har uppnått mognad på det bestämda skogsområdet enligt följande:

Rätten till slutavverknningens produkt = Slutprodukten × beloppet exklusive skatt undertecknat av X / totalbeloppet exklusive skatt som tecknats på det angivna området

Det förtydligas att:

  • "Slutprodukten från avverkningen" är lika med den totala produkten av den slutliga avverkningen av de kvarvarande träden på skogsområdet som uppnått mognad;
  • "Beloppet exklusive skatt som tecknas av X" är lika med summan av träden multiplicerat med varje träds inköpspris exklusive moms vid T0 (*) som kunden köpt;
  • "Totalt belopp som tecknas på det angivna området" är lika med summan av alla "belopp som tecknats" av var och en av kunderna på skogsområdet. Den totala summan av inköpen exklusive moms av träd vid T (0);
  • (*) T0: datum för första saluföring av träd på EcoTrees webbplats.

Så snart träden förvärvas, ger kunden EcoTree mandat att hantera de förvärvade träden. Syftet med detta mandat är att ge EcoTree utrymme att genomföra en förvaltningsstrategi vars mål är att på bästa möjliga vis värdesätta skogsområdena. I detta mandat ingår skogskompetens och underhåll, såsom svampbehandling, rensning, beskärning och gallring etc. Dessutom förbehåller sig EcoTree rätten att vända sig till partners, som skogsexperter eller lokala skogsbruksföretag.

EcoTrees skyldigheter gällande gott skogsbruk är begränsade till de ursprungliga planerade kostnaderna. Men om ett skogsområde skulle försvinna av orsaker utom den kontroll EcoTree har i form av gott skogsbruk, och de ursprungliga planerade kostnaderna skulle bli högre för att lindra hotet utan att påverka hela skogsområdets ekonomi och störa skogsbruksplanen ger kundens EcoTree rätten att avverka de förvärvade träden i förtid. Den senare kommer då få priset för den förväntade avverkningen och dess försäljning. Avkastningen från avverkningen kommer betalas ut i proportion till kundens överenskommelse i enlighet med vad som står nedan i detta dokument - och kontraktsförhållandet mellan kunden och EcoTree kommer således ta slut. Som en följd av detta blir investeringsrättigheterna en ren rättighet till avkastningen från avverkningen, något som betalas ut i helhet till kunderna och inte används för att reparera skogsområdet.

Det specificeras att en tidig avverkning är något helt annat än en typisk gallring. En tidig avverkning är en brådskande exploatering som sker på grund av en orsak som hotar den framtida skörden (t ex stormar, sjukdomar eller bränder). De typiska gallringarna består av att i förtid ta bort (enligt den förutbestämda skogsbruksplanen) vissa träd för att förbättra miljön och produktiviteten.

Med tanke på brandrisken eller risken för kriminellt beteende eller andra naturkatastrofer kan betydande avverkning ske inom ett skogsområde baserat på risken utan att påverka skogens generella ekonomi eller dess skogsvårdsplan. Dessa avverkningstillfällen är alltid per definition exceptionella på så sätt att de inte är del av skogsvårdsdokumentationen och därför inte är del av den regelbundna vård som sker som en del av gott skogsbruk. Vid behov tillhandahålls följande:


- Alla summor som den oplanerade avverkningen resulterar i (inklusive fallträd) sätts in på ett specialkonto för syftet;
- Summorna på kontot kommer att läggas till i den inkomst som betalas till kunderna vid de olika förväntade deadlines som planerats från början. Sedan distribueras de i proportion till storleken på kundernas investeringar, enligt registren. Alla produkter, inklusive de insatta summorna, kommer således att betalas ut till kunderna i enlighet med formeln som bestämts i dessa generella villkor.
- När det är tillämpligt kan hela ersättningen som kommer från försäkringsgivare avsättas för att reparera skogsområdet; de återväxta träden kan, om nödvändigt, utgöra nya skogsområden som sedan säljs av EcoTree. Oavsett händelse kommer de inte att läggas till i avkastningen från tidigare nämnda skog.
Beslutet att genomföra en tidig skörd med återbetalning eller en exceptionell skörd med avsättning tas av en oberoende skogsbruksexpert. Förutom detta kommer EcoTree, i sin årliga skogsbruksrapport, indexerad i Köparens Personliga Utrymme, avge en ad hoc-rapport från en skogsbruksexpert som garanterar skogsbrukets kvalitet.
EcoTree gör kunden uppmärksam på att hen inte kommer att ges några intäkter från mellanliggande röjningsarbeten, jaktintäkter eller andra bidrag eller hyresintäkter, dessa intäkter går oavkortat till EcoTree, och dess finansiering av skogområdets skötsel ända till slutavverkning när träden nått fullvuxen ålder.

EcoTree gör kunden uppmärksam på att Markägaren förblir ägare till egendomen. Genom att köpa ett träd, deltar kunden i markägarens finansieringen av och investeringen i markegendomen.

Det preciseras att EcoTree åtar sig, från det att träden sålts och till och med slutlig avverkninng och den slutliga försäljningen av alla träd som nått mognad ålder på ett skogsområde, att (i) under inga omständigheter låta någon tredje part få del av avkastningen på skogsområdet som ägs av skogsbruksgruppen på vilken de sålda träden växer och (ii) inte heller avlåta ägandet av skogsområdet (marken) till en trejde part.

Artikel 11: Överför dina träd åt tredje part

EcoTree vill göra Köparen uppmärksam på att värdet av hens investering, till skillnad från en finansiell produkt, först och främst består i ett långsiktigt åtagande som främjar en sund skogsförvaltning.

Köparen måste därför betrakta sin investering som långsiktig, motsvarande det förvärvade trädets livscykel. Följaktligen kan investeringen överleva köparen beroende på de förvärvade arternas mognadsstadium.

EcoTrees främsta uppgift är inte att säkerställa likviditeten hos sina kunders finansiella tillgångar.

Varje köpare kan när som helst besluta sig för att överföra sina förvärvade rättigheter till en tredje part.

När en sådan överföring har skett måste köparen informera EcoTree med ett e-postmeddelande enligt bestämmelserna i artiklarna 1322 och franska civillagen.

Det enda EcoTree kräver är att den nya Köparen skapar ett användarkonto.

Skapandet av användarkontot godkänner för EcoTree överföringen mellan parterna.

Artikel 12: Betalning

Priserna anges i euro och inkluderar alla skatter, om inte annat anges på webbsidan.

Priserna som visas på webbsidan kan när som helst, och utan förvarning, ändras, undantaget de ordrar för vilka betalning redan bekräftats.

Om betalningen av en order inte skulle accepteras av banktjänsten avbryts ordern. Användaren ansvarar för eventuella kostnader som följer ett köp som avbrutits, utan att det påverkar eventuella åtgärder som kan vidtas mot honom.

Betalningar på webbplatsen görs via kreditkort (Carte Bleue, Visa, Eurocard/Mastercard eller American Express) genom ett säkert betalningssystem kopplat till Crédit Mutuel i Bretagne.

Ingen bankinformation överförs via webbplatsen: Köparen betalar online genom att ange kortnummer, datum och säkerhetskoden på kreditkortets baksida i det formulär som tillhandahålls för detta ändamål på EcoTrees hemsida.

Om betalningen visar sig vara oregelbunden, ofullständig eller obefintlig, av en anledning som hänför sig till Köparen, kommer försäljningen av Produkterna att avbrytas. Köparen står för alla eventuella omkostnader, köparen kan under vissa omständigheter ställas inför rätta.

För att bibehålla konsumenternas och transaktionernas säkerhet, förbehåller sig EcoTree rätten att blockera ordrar som visar tecken på bedrageri eller som inte uppnår de säkerhetsgarantier som krävs vad gäller betalning online.

Om detta skulle ske kan köparen fortfarande förvärva en produkt från webbplatsen genom att använda ett annat betalningsmedel än det som blockerats.

Vid eventuella oegentligheter i fråga om betalning på webbplatsen förbehåller sig EcoTree rätten att spara de insamlade uppgifterna från köpet i en lista över betalningsincidenter.

Om detta är fallet kan användaren inte använda detta betalningsmedel för att placera framtida ordrar på webbplatsen.

Ett e-postmeddelande skickas ut till den e-postadress som registrerats vid beställningen för att informera användaren och erbjuda hen att regularisera situationen via vår kundtjänst.

Artikel 13: Immateriella rättigheter

EcoTree är ägare till alla immateriella rättigheter som hänför sig till Webbplatsen, som de är ägare till och vars användarrättigheter de besitter.

Tillgången till EcoTrees webbplats ger inte Användaren någon rätt till immateriella rättigheter i hänförande till Webbplatsen, som förblir EcoTrees exklusiva egendom.

De element som är tillgängliga på webbplatsen, särskilt i form av text, fotografier, bilder, ikoner, kartor, ljud, videor, programvaror, databaser och data skyddas också av immateriell och industriell äganderätt och andra äganderättigheter som EcoTree erhåller.

Med undantag för vad som anges i dessa Allmänna Villkor, får användaren eller köparen under inga omständigheter reproducera, representera, modifiera, överföra, publicera, anpassa eller på något sätt utnyttja, hela eller delar av sajten utan föregående skriftligt medgivande från EcoTree.

Dessa Allmänna Villkor innebär inte för Användaren någon överföring av någon form av immateriella rättigheter på de delar som tillhör EcoTree.

Webbplatsen, varumärken, illustrationer, modeller, bilder, texter, foton, logotyper, grafiska kartor, programvaror och program, sökmotorer, databaser, ljud, videor, domännamn, design eller annan information eller medium som presenteras av EcoTree utöver denna lista, är EcoTrees exklusiva egendom och skyddas av deras upphovsrätt, varumärke, patent och andra immateriella eller industriella äganderätter som erkänns enligt gällande lagar.

All reproduktion och / eller representation, hel eller delvis, av någon av dessa rättigheter, utan uttrycklig tillåtelse från EcoTree, är förbjuden och utgör en överträdelse som kan straffas enligt artiklarna L. 335-2 och följande immaterialrätten. Följaktligen är det inte tillåtet för Användaren att agera eller handla på ett sätt som sannolikt, direkt eller indirekt, skulle kränka EcoTrees immateriella rättigheter.

Under inga omständigheter får användaren använda, skriva ut eller omformatera innehållet på EcoTrees webbplats för något annat än privat ändamål. Hen åtar sig att inte ladda ner, reproducera, överföra, sälja eller distribuera innehållet på EcoTrees webbsida.

Detta förbud gäller särskilt, men inte exklusivt, metoder som skrapning eller användning av robotar för att extrahera eller reproducera någon del av EcoTrees webbplats, inklusive erbjudanden för produkter som presenteras där, särskilt för kommersiella ändamål.

Allt utnyttjande av Webbplatsen utan EcoTrees godkännande, så som förfalskning av hela eller någon del av webbplatsen kan bli föremål för åtgärder.

Användandet av hypertextlänkar till någon del av webbplatsen är förbjudet utan skriftligt tillstånd från EcoTree.

Artikel 14: Användning av EcoTrees webbsida

Användningen av program som hämtas från webbplatsen för att få tillgång till vissa tjänster regleras av villkoren i den medföljande licensen. Köparen och / eller användaren åtar sig att avstå från installering, kopiering eller användning av programvaran innan villkoren för denna licens har godkännts.

För programvara som inte åtföljs av en licens får köparen och / eller användaren en tillfällig, privat, personlig, icke-överlåtbar och icke-exklusiv användningsrätt på denna programvara för att endast kunna få tillgång till EcoTrees webbsida.

Genom att installera eller använda programvaran åtar sig köparen och / eller användaren att följa dess villkor.

EcoTree garanterar inte att webbplatsen kommer att vara fri från fel, eller att de kan åtgärdas, inte heller att webbplatsen kommer att fungera utan avbrott eller misslyckande eller att den är kompatibel med någon särskild typ av maskinvara eller konfiguration tillhörande köparen och / eller användaren.

EcoTree ansvarar inte på något sätt för funktionsfel som kan hänföras till program från tredje part.

EcoTree ansvarar inte för något slags förutsebart eller oförutsebart material eller immateriella skador (inklusive förlust av vinst eller möjlighet ...) som helt eller delvis följer av användningen eller oförmågan att använda deras webbplats.

Slutligen, EcoTree kan inte kontrollera alla webbplatser som de hänvisar till via hypertextlänkar, som endast finns till för att underlätta användarens eller köparens sökningar, och kan därför inte ansvara för dess innehåll.

Både användaren och köparen förklarar att de är medvetna om Internets egenskaper och begränsningar, särskilt dess tekniska prestanda, svarstiderna för att konsultera, fråga eller överföra data och riskerna i samband med kommunikationssäkerhet.

Både användaren och köparen uppger att de har kontrollerat att den datorkonfiguration de använder inte innehåller några virus och att den är i perfekt fungerande ordning.

Om webbplatsen innehåller hypertextlänkar som leder till andra webbplatser är det köparens och / eller användarens ansvar att läsa riktlinjerna för de webbplatser som EcoTree hänvisar till, särskilt vad gäller skydd av personuppgifter.

EcoTree gör inget åtagande angående någon annan webbplats som köparen och / eller användaren kan ha tillgång till via webbplatsen. De kan under inga omständigheter hållas ansvariga för innehållet, driften eller tillgången till dessa webbplatser.

Varje skapande av en länk till sin egen webbplats måste först godkännas av EcoTree.

Artikel 15: Skydd av personuppgifter

Uppgifterna samlas in av EcoTree efter användarens godkännande. EcoTree åtar sig att säkerställa att den information som samlas in aldrig kommer att ges bort, hyras ut eller säljas till tredje part.

EcoTree förbinder sig att endast nyttja användarnas konfidentiella information inom ramen för driften av sin webbplats. För att beställningen ska fungera smidigt kommer de personuppgifter som samlas in att bli föremål för databehandling, enligt användarens godkännande. Informationen kan komma att kommuniceras till EcoTree tekniska tjänsteleverantörer. Dessutom kan EcoTree använda tekniska medel för att samla in icke-personlig information om internetanvändare avsedd att förbättra webbplatsens funktionalitet, till exempel genom att spåra antalet besökare på vissa sidor.

I enlighet med lagen från den 6 januari 1978, ändrad i lagen från den 6 augusti 2004, och den europeiska förordningen 2016/679 om skydd av personuppgifter har du rätt att få tillgång till, ändra och radera dina uppgifter.

Artikel 16: Tillämplig lag och jurisdiktioner

Dessa allmänna villkor och mer generellt de kontraktsförbindelser som upprättats mellan köparen och EcoTree omfattas av fransk lag. Eventuell tvist om tolkning och / eller verkställighet skall hänvisas till franska domstolen.

Artikel 17: Force Majeure

Ingen av parterna anses ha brutit sina avtalsförpliktelser, om genomförandet av en investering försenas eller förhindras på grund av en olycka eller i fall av force majeure.

Parten som drabbats av olyckliga omständigheter meddelar den andra parten senast 7 arbetsdagar efter att olyckan uppdagats.

Olyckliga omständigheter eller force majeure anses vara externa händelser och betraktas som oförutsägbara för parterna, de är oundvikliga och går inte att kontrollera eller förhindras av de berörda parterna, trots rimliga ansträngningar.

De båda parterna kontaktar varandra senast 30 dagar efter att händelsen inträffat för att undersöka dess inverkan och avtala om villkoren för hur genomförandet av ordern kan fortsätta. Om olyckan eller force majeure varar längre än 60 dagar, kan beställningen avbrytas av den utsatta parten.

Utöver de traditionella omständigheter som omfattas av olyckliga händelserna eller force majeure av den franska rättspraxisen, utvidgar EcoTree definitionen till: blockering av transportmedel, leverans eller tillgångar, jordbävningar, bränder, stormar, översvämningar, blixtnedslag samt avstängning av telekommunikationsnät.

Artikel 18: Risker

När en kund väljer att köpa ett träd från EcoTree utsätter hen sig för följande huvudrisker:

Risk för total kapitalförlust
Värdet på ett träd kan avskrivas och leda till en risk för totalförlust av investerat kapital.

Inflationsrisk
Innan ett investeringsbeslut fattas måste kunden också ta hänsyn till att valutans värde kan variera över tid. Följaktligen finns det risk för avskrivningar på valutan som kan leda till en avkastningshastighet som är lägre än inflationen.

Risk för bristande likviditet
EcoTrees-erbjudande är en långsiktig investering som är beroende av den tid det tar för trädet att uppnå mogen ålder. EcoTree garanterar således inte likviditeten hos sina kunders skogstillgångar innan trädet avslutat sin livscykel. Kunden har ingen rätt att få sitt träd återtaget eller återköpt av EcoTree.
EcoTree förbehåller sig dock rätten att, efter eget gottfinnande, förvärva träd som erbjuds av kunden. EcoTree understryker dock att det i så fall handlar om ett återköp efter EcoTrees eget gottfinnande och kan aldrig utgöra någon bindande skyldighet för EcoTree gentemot kunden. EcoTree kan därför också neka en förfrågan från kund gällande återköp av träd.
Däremot kan varje kund besluta att när som helst sälja sitt träd till en tredjepart efter eget val. Om så sker måste kunden meddela EcoTree om den nya förmånstagaren och försäljningen så att EcoTree kan notera ägandeskiftet av trädet och fortsätta att sköta om och underhålla trädet till förmån för den nya köparen.

Risk relaterad till underliggande marknader och avskrivningar av timmerpriser
Ett av målen med EcoTree är att uppnå en realisationsvinst när de mogna träden slutligen är klara för avverkning. Kunden görs däremot uppmärksam på att försäljningspriset för den slutliga produkten, de mogna träden i ett skogsområde, innebär vissa osäkerhetsfaktorer som särskilt hänför sig till marknadssvängningar och i synnerhet möjligheten till fallande timmerpriser eller möjligheten att virkesmarknaden kan bli lika med 0 eller att arten som ursprungligen förvärvats inte uppfyller framtida efterfrågan.

Risk för brand, oväder eller annan naturkatastrof - Brist på försäkring som täcker dessa risker
Skogsområden står alltid i risk för naturkatastrofer. När kunden beslutar att investera i träd måste hen därför ta hänsyn till risken för naturkatastrofer (storm, sjukdomar, brand, etc.) som skulle kunna skada eller förstöra träden. EcoTree uppmärksammar sina kunder på att ingen försäkring som täcker riskerna för skador eller förstörelse av träd har undertecknats.
Innan ett investeringsbeslut fattas måste kunden vara väl medveten om risken för brand och oväder (så som stormvindar, kraftigt regn, skurar, översvämningar, åska, snö, is, värmebölja eller extrem kyla) eller risker för andra naturkatastrofer, vilket skulle kunna leda till en total förlust av kundens investerade kapital.

Skatterisk
Kunden måste ta i beaktning att skatt kan tillämpas på eventuell realisationsvinst som uppnåtts vid slutavverkning av en grupp träd, ett enskilt träd eller vid rätten för ett träd avsett för avverkning. EcoTree rekommenderar därför sina kunder att kontakta en skatterådgivare.

Risk för misslyckande av EcoTree
Innan ett investeringsbeslut fattas måste kunden på grund av investeringens långsiktighet ta hänsyn till risken för företagets misslyckande. Företagets misslyckande skulle kunna resultera i en total förlust av kundens investerade kapital.

Artikel 19: Försäkring

EcoTree och dess skogsbruksgrupp är ansvarsförsäkrade vilket även gäller i fall de inte skulle uppfylla sina skyldigheter för god skogsförvaltning. Försäkringen täcker också alla skador som omfattas av Europaparlamentets och rådets direktiv 2004/35/EG, om miljöansvar för att förebygga och avhjälpa miljöskador. Däribland negativa, allvarliga och mätbara förändringar av en naturresurs och / eller dess ekologiska funktioner samt skador på skyddade marker, vatten och arter och naturliga livsmiljöer. Kunden är uttryckligen informerad om att vid ersättning efter förödelse kommer försäkringen att användas för restauration av det berörda skogsområdet och inte till att kompensera kunden eftersom kundens rätt gäller den slutliga avverkningen.

Artikel 20: Bestämmelser för tredjeparter

När köparen vill erbjuda en tredje person möjlighet att förvärva produkter, är parterna överens om att köparen enligt artikel 1205 (franska civillagen), kan överföra sina rättigheter som följer av detta avtal till den hen önskar.

Så snart EcoTree genom kvittering informerats om förmånstagaren, överförs köparens rättigheter och skyldigheter enligt dessa Allmänna Villkor till förmånstagaren. Om köparen beslutar att utnyttja sin rätt till återkallelse (artikel 1206 i den franska civillagen), innan förmånstagaren accepterat mottagandet, måste hen informera EcoTree med kvittering för mottagande.

Artikel 21 : Bekämpa korruption

EcoTree åtar sig att förebygga och bekämpa bedrägerier och korruption, i enlighet med bestämmelserna i SAPIN II-lagen nr 2016-1691 från den 9 december 2016 om transparens, modernisering av det ekonomiska klimatet och kampen mot korruption. Vi avser att varje person eller företag i förhållande till oss ska följa samma principer och noggrant respektera de gällande bestämmelserna. Därför ska alla medleverantörer eller andra EcoTree-partners: • formellt avstå från alla former av bedrägeri och korruption i samband med sina relationer till EcoTree; • åta sig att vidta alla rimliga åtgärder för att säkerställa att dess chefer, anställda, underleverantörer, ombud eller andra tredje parter under dess kontroll uppfyller denna skyldighet; • åta sig att utan dröjsmål informera EcoTree om intressekonflikter eller händelser som kan komma att uppmärksammas och som kan leda till att man uppnår en otillbörlig fördel, av ekonomisk eller annan karaktär, eller generella överträdelser av tillämpliga regler, under sitt partnerskap med EcoTree. Varje regelöverträdelse av de skyldigheter som definieras i denna artikel kommer att betraktas som en allvarlig överträdelse som ger EcoTree rätt att avsluta sin relation med sin medkontraktant eller annan partner utan föregående meddelande eller ersättning, men med förbehåll för alla skador som EcoTree kan göra anspråk på i händelse av en sådan brist..

Artikel 22: Kommunikation

Kunden uppger uttryckligen att dess partnerskap med EcoTree inte handlar om en process för koldioxidkompensation, utan att det är en fortsättning på ett pågående och viktigt arbete med att minska sina utsläpp av växthusgaser. Kunden är medveten om att den blivit varnad för att det är ungefär samma sak att använda siffrorna från sina träds koldioxidupptag i ett matematiskt syfte som att jobba med koldioxidkompensation på sätt som EcoTree inte godtar. Kundens engagemang i EcoTree är ett bidrag till global koldioxidneutralitet genom att skapa kolsänkor i skogen.

Engagemangets effekt ska aldrig överkommuniceras och ska vara i proportion till dess sätt, storlek och företagets ekologiska omställning. Dessutom ska kunden inte bara kommunicera om trädplantering. Trädplantering är bara sant ekologiskt om det görs i form av genuina skogsbruksmetoder (alla ska gynna bevarandet av existerande träd och den naturliga återväxten) som även gynnar de ekosystem som redan finns i den levande skogen. Kunden uppfattar också att kommunikationskampanjer som handlar om trädplantering, framför allt på ett industriellt sätt, inte på något sätt är en på lösning på klimatkrisen.

Kunden går uttryckligen med på att fokusera sin kommunikation kring hållbart skogsbruk, vilket är det enda som garanterar deras biologiska mångfald, produktivitet, återväxtskapacitet, livskraftighet och förmåga att, idag och i framtiden, tillfredsställa de relevanta ekonomiska, ekologiska och sociala funktionerna på en lokal, nationell och internationell nivå, utan att skada andra ekosystem.

Om kunden samtidigt marknadsför sina produkter och tjänster rekommenderar EcoTree, som ett förberedande steg för att möta bestämmelserna i Climate Resilience Act, att produkterna och tjänsternas koldioxidavtryck anges.

Artikel 24: Slutliga bestämmelser

Dessa allmänna villkor gäller fransk rätt med undantag av lagar i konflikt. I händelse av en tvist som rör bildandet, giltigheten, tolkningen, utgången och / eller uppsägningen av det nuvarande kontraktet och i avsaknad av en överenskommelse mellan parterna, kommer behörigheten att överlåtas till Brests behöriga domstolar. Detta gäller oavsett antal svaranden och / eller garantianspråk, även vid nödsituationer eller skyddsåtgärder i sammandrag eller vid ansökan. Klausulen om jurisdiktion gäller inte för icke-professionella eller konsumenter.

Det faktum att EcoTree aldrig tidigare åberopat, någon av bestämmelserna i dessa Allmänna Villkor, skall inte tolkas som ett upphävande av rätten att åberopa dem vid ett senare tillfälle.

EcoTree förbehåller sig rättan att utan förvarning eller vidare information, när som helst ändra innehållet i dessa allmänna villkor.

Preamble

These General Terms and Conditions apply without reserve or restriction to all the services offered by EcoTree on this website https://ecotree.green: i.e. various offers for the purchase of trees by private individuals and legal entities under private law. EcoTree offers the acquisition of various species of trees spread over different forest areas, either as a one-off acquisition or as a subscription. The Purchaser must be aware that the originating country of the trees purchased determines the jurisdiction of the Terms and Conditions. The purpose of these General Terms and Conditions of Sale is to define the conditions of use of the EcoTree website and the contractual relations established between EcoTree and the Purchasers via the website. When accessing the EcoTree website, you are accepting the General Terms and Conditions of Sale for any purchase of trees located in Denmark and thereby contractual relationship engaged via the website. Changes to these General Terms and Conditions are enforceable for users of the website from the time they are published, but cannot be applied to transactions concluded previously. Defined terms: « _Product » _ refers to a tree, both to its species or the forest area where it is located (including its GPS coordinates), « Offer » refers to the different products on offer as well as the terms and conditions governing their acquisition, « Services » refers to all products and services on offer (including subscriptions) by EcoTree on its website, « Purchaser » refers to any legal or legal person who has opened a Purchaser Account (also referred to as personal account or personal space) on our website, « Purchaser account or Personal space » refers to the part of the website created by the Purchaser, filled in with his or her personal information and only accessible by the Purchaser with the confidential code issued to him or her at the creation of the account, « Harvesting date » refers to the date determined by EcoTree on which a tree will be cut in the relevant forest area, « Cutting price per unit » refers to the selling price of trees in a forest area in which trees have reached their harvesting date, « Order » refers to any acquisition of a product made and validated by the purchaser on the website of the company EcoTree, « General Terms and Conditions » refers to these General Terms and Conditions of Sale and use accepted by the purchaser of a product made on the website of the company EcoTree during the creation of his or her account, « User » refers to any person visiting the website of the company EcoTree before acquiring any products on offer on this website, « Website » refers to the Internet Site published by EcoTree, on which its users have the possibility to acquire EcoTree's products, « Customer Service » refers to the department of the company EcoTree that manages relations with the Purchasers or any person visiting the website and wishing to receive more information about the company's products and services, « Trusted Third Party » refers to a legal person that any purchaser (only legal persons) enters into his or her Purchaser Account at its creation. It is specified that the term " Forest area " designates a forest parcel, that is to say a surface to which is associated a stand (one or several species), a forestry management plan and over a determined period of time. Each year of exploitation of this plan corresponds to "a division". EcoTree's economic model (the right to the product of the cut) is applied at the scale of this parcel. (A forestry management plan is the set of forestry interventions necessary to achieve a given objective in a given context.) These terms and conditions are valid from October 15, 2021. This version cancels and replaces previous versions. Users are encouraged to carefully read these General Terms and Conditions, which are accessible by hyperlink on each page of the EcoTree company's website. Users are advised to download and/or print them and keep a copy. The acquisition of products is reserved to users who have created a Purchaser Account and who have thereby accepted these General Terms and Conditions in their entirety. The explicit acceptance of these General Terms and Conditions is confirmed by ticking the box or by clicking on the hypertext link provided for this purpose also at the time of any individual purchase of Products. Since these may be modified at any time and without notice, it is imperative that the Purchaser consult the General Terms and Conditions when acquiring a new Product, in particular, in order to ensure that the contractual clauses in force are acknowledged.

Article 1: Create a Purchaser Account

To order a Product on the Website of EcoTree, the User must be legally capable of contracting and using this site in accordance with these General Terms and Conditions. The User has to create a Purchaser Account by completing an online registration form and filling in all the mandatory fields. EcoTree reserves the right to accept or reject by e-mail, at its sole discretion, the creation of Purchaser Accounts. To guarantee the confidentiality of the personal information saved on his or her account, the Purchaser is invited to choose a password when creating his or her account. Once the account has been created, the Purchaser agrees not to communicate his or her password to any third party whatsoever. EcoTree cannot be held responsible for unauthorized access to the account. The Purchaser commits to provide accurate and truthful information. He or she undertakes to regularly update the data provided when creating his or her Purchaser Account. Once created, this account can be accessed at any time. When accessing his or her account, the Purchaser will be provided with the following data, updated regularly:

  • The valuation in euros over time of the trees the Purchaser has acquired, as punctual purchases or with subscriptions,
  • An estimation of the amount of CO2 absorbed thanks to the acquired trees. The Purchaser will be informed, through their customer area, newsletters or the annual management report, of forestry interventions carried out in the forest area in which their tree is located. The User is financially liable for the use of the website made both in his or her own name and on behalf of third parties, including minors, unless he or she can prove that the use was fraudulent and did not result from any fault or negligence on his or her part. Any use of the website's service that is fraudulent or that contravenes these General Terms and Conditions may result in EcoTree refusing the concerned User the access to the services offered on its website at any time. EcoTree also reserves the right to temporarily suspend access to the Purchasers' accounts, especially in the event of technical problems or maintenance operations.

Article 2: Create an account and designate a Trusted Third Party

The duration of the services offered by EcoTree is spread over a period entirely determined by the development path of its Products. In accordance with article 10 of these General Terms and Conditions, the Purchaser:

  • acquires ownership of one or more trees; and
  • at the same time, is entitled to a right on the revenues generated by the final cut of the trees that have reached their harvesting date in the relevant forest area; and
  • mandates EcoTree to manage the trees they have acquired and then pay them the proceeds of the harvest, once it is carried out. The time until the trees offered for acquisition reach their harvesting date can take between ten and seventy years. It is totally independent of the life duration of the Purchasers. In order to preserve the rights of its Purchasers, EcoTree asks them to appoint a Trusted Third Party at the time they create their account. It is mandatory that the Purchaser designates a person of choice at the creation of his or her account in a field reserved for this purpose. He commits him- or herself to renew this nomination every year on the anniversary date of the creation of the Purchaser's account. For its part, the company EcoTree undertakes to regularly engage its clients to ensure that the information will be updated. At the tree's harvesting date, EcoTree undertakes to contact the beneficiary and/or their trusted third-party to give them their expected earnings. In the absence of a designated beneficiary, EcoTree will remit the due sums to a financial third-party in an account opened for this purpose where the concerned party will be able to reclaim them in accordance with the formalities and within the time frame laid down by the law.

Article 3: Placing orders on the website

The User may only order Products on offer on the website of the company EcoTree after having created a Purchaser Account, also called Personal Space, and having accepted, at the creation of this account, these General Terms and Conditions by a single click. The procedure for placing orders consists of (at least) the following steps:

  1. The User carries out a search on the website,
  2. As a result of the search, the website offers the User one or more Products to be acquired either as punctual purchases, or in the form of a subscription, for him or herself or on behalf of a third party,
  3. The User clicks on the Product(s) of choice,
  4. A summary presenting his or her choices and the total price of the Product(s) allows the User to check the details of the order,
  5. The User must then ensure that all the information displayed, and in particular the information given in the mandatory fields of the order form, is in accordance with his or her instruction. In the case of a punctual purchase, the customer must therefore check the species chosen, the quantity of Products, and the forest area where the chosen Product(s) are located; they may no longer be modified after validation of the order,
  6. The User then has to confirm the order,
  7. Once the order is confirmed by the User, as well as his or her banking service through which it is placed, the contract is validly concluded with the Purchaser,
  8. The online order, which is carried out in secure mode, is validly concluded after agreement of the banking service,
  9. EcoTree will send an order confirmation by e-mail as soon as possible, and at the latest five days after the order. This e-mail will confirm the order and list its essential elements, such as the details of the ordered Products and the order's price and quantity. All the information contained in this confirmation e-mail shall constitute proof of the order's content unless the Purchaser contests it by registered letter with acknowledgement of receipt within 8 days. In the event that the Purchaser does not receive an order confirmation, it is his or her responsibility to contact EcoTree by filling in the standard form provided for this purpose on the website. It is the Purchaser's responsibility to ensure that the information (identity, e-mail address, postal address, etc.) he or she provided during the order is correct. If any changes concerning the personal information that could affect the order occur, it is the Purchaser's responsibility to update his or her information using the electronic form on the website, in order to ensure that he or she will benefit from the Products ordered. He or she makes all the necessary modifications to the information previously provided at the creation of the Purchaser's Account/Personal Space.

Article 4: Shipping and Delivery

By reason of the specific nature of the Products marketed by EcoTree, there is no shipment, since the Purchaser buys trees that will be cut when they have reached their harvesting date. There will therefore be no transfer as such of the Products acquired. But once the order has been confirmed by the Purchaser and the electronic payment has been accepted by the relevant banking service, there will be a transfer of ownership of the product(s) concerned by the transaction. The Purchaser receives an invoice confirmation containing the terms of his or her order:

  • The date of the order,
  • The species ordered,
  • The quantities acquired,
  • The forest areas where the products are located,
  • The price paid. This invoice can be downloaded by the Purchaser on his or her Purchaser Account/Personal space and attests to this transfer of ownership and the related risks.

Article 5: Proof

It is hereby expressly agreed that the data stored in EcoTree's information system, in particular in the electronic messaging tools, constitutes conclusive evidence of the Orders placed by the Purchaser and of the contractual obligations to be performed by all parties. Data in computer or electronic form stored by the company EcoTree constitute evidence and, if produced as evidence by the EcoTree in any litigation or other proceedings, shall be admissible, valid and enforceable between the parties in the same manner, under the same conditions and with the same probative force as any document drawn up, received or stored in writing.

Article 6: Right of withdrawal

The Purchaser is hereby informed that, pursuant to Sections 18-25 of the Consumer Contracts Act, he or she is, as private consumers entitled to exercise his right of withdrawal from the order he or she has placed. The Purchaser, as private consumers has fourteen days to cancel his or her Order without having to provide any justification in accordance with the provisions of the aforementioned legislation. This period starts from the moment the order has been confirmed, processed and accepted by the relevant banking services. Order withdrawals requests are carried out e.g. by filling in the standard form provided for this purpose on the Website. EcoTree acknowledges receipt of this withdrawal request with an e-mail.

Article 7: The use of the online feedback service

Any Purchaser may submit a review on the website of the company EcoTree. If he or she is a legal person, he or she must be legally capable of contracting and using the Website in accordance with the General Terms and Conditions. The person must have personally experienced the purchasing of a Product offered on the Website. Hence, the filing of an online notice is strictly reserved to Purchasers only. The person must not be in a situation of conflict of interest with EcoTree. It is compulsory for any Purchaser to complete the form provided for this purpose. Among the elements requested on the form, only the User's first name and city will appear publicly on the Website. The content published on the Website is labelled as 'Verified Notices', which means that EcoTree has ensured that the Purchaser has both correctly placed an order for a Product found on the Website and paid for the aforementioned Products before publishing a notice on the Site. The e-mail address provided for filing the notice online must be valid and must allow for the Purchaser to be contacted in order to allow authentication and/or personal contact for the purpose of verifying the authenticity of his or her testimony. EcoTree must be immediately notified of any misappropriation or fraudulent use of the e-mail address registered for this purpose by e-mail. The Purchaser may at any time request the deletion of his or her contributions by sending an e-mail to EcoTree, which will process such a request as quickly as possible. The content relating to an online notice is published on the Website within an average indicative period of 72 hours (including the moderation period). They will then be read by any visitor or other user visiting the website of the company EcoTree. The default mode will display the content chronologically starting from newest to oldest on the basis of the filing date. EcoTree will endeavor to publish the content as received from customers. However, the moderation of the Website allows EcoTree, at its sole discretion and without notice, to remove all or part of the content that would violate the legislation in force. The company EcoTree reserves the right, at its absolute discretion, to determine which content is published on its Site and to remove any unintelligible or illegal content (including obscene, racist, sexist or defamatory content or publications, or any violation of intellectual property rights, publicity rights or privacy rights). The Purchaser who submits content bears, in advance, the responsibility to:

  • ensure that the content is both relevant and of quality, including aesthetic quality if applicable, that can be used on the site,
  • ensure that the content respects the General Terms and Conditions,
  • use the same e-mail address to register for the online notification service as the one created for his or her Purchaser Account. The Purchaser is solely responsible for the content he or she posts on the Website and for complying with the General Terms and Conditions. Under no circumstances may EcoTree be held responsible for published content, nor for errors or omissions perpetrated by customers. EcoTree reserves the right to remove immediately, without notice, any content contrary to these General Terms and Conditions. EcoTree shall not be liable for any damages, direct or indirect, resulting from the use of the online notification service, regardless of the cause. The Purchaser is therefore solely liable for any damages resulting from any violation of the restrictions set out in this article, or any other damages caused by the public disclosure of content on the Website. EcoTree also reserves the right to suspend access to the online notification platform service, notably in the case of technical problems or for maintenance operation purposes.

Article 8: Our Offers

The website of the EcoTree offers four ways to purchase its Products:

  • The punctual purchase for oneself of a specific tree species located in an identified forest area,
  • The punctual purchase for someone else of a specific tree species located in an identified forest area,
  • Signing up for a subscription for oneself or for others,
  • The acquisition of trees to be planted during the next planting season following the date of acquisition. The choice is made from forest species and areas on offer on the website of EcoTree. Customers are also provided with the opportunity to fund several projects at a time, which are aimed at maintaining or generating biodiversity as part of our 'biodiversity' offer. The client is informed that this specific financial operation corresponds to a donation, which renders it ineligible for tax deduction. After the collection of its commission, EcoTree is responsible for allocating all donations made by the customer to the selected projects. The tree subscription allows the Purchaser to acquire trees selected by EcoTree on a monthly basis. The Purchaser grants EcoTree the mandate to select the specific trees and their species that will be added onto his or her Purchaser Account. The Purchaser who has signed up for a subscription selects the amount of the monthly withdrawal and the account from which he or she wants to be debited. Each month the new trees selected by EcoTree are added onto the Purchaser Account or on the account of another person of choice. An invoice informing the Purchaser of the details of his or her order is uploaded on the Personal Space of the Purchaser Account or on the one of the persons he or she has decided to pay for. The invoice provides the amount of new trees, their species, as well as the forest in which they are located. When the Purchaser has made an acquisition, through punctual purchase or a monthly subscription, on behalf of others, he or she shall indicate for whom he or she has made an acquisition or a subscription in accordance with the stipulations of Article 4 relating to Products acquired on an occasional basis or by subscription for minors. When making an acquisition on behalf of another party, the Purchaser must enter the beneficiary's e-mail address. An e-mail is sent on the same day of the order or at a later date scheduled at the request of the Purchaser. This e-mail contains a gift code to be entered and instructions explaining the beneficiary how to access the acquired tree property. The gift code, which justifies the purchase of one or several trees and/or of one or more subscriptions, is valid until one year from its date of issuance. The code is nominative, non-refundable and non-exchangeable. Strictly no extension of the expiry date will be allowed and no exemption to the previously mentioned rule will be authorized with the exception of a withdrawal requested by the Purchaser. In the event of non-use of the gift code within the time limit indicated on the Purchaser's invoice for a third party or on the beneficiary's receipt, neither the Purchaser nor the beneficiary are entitled to a refund. Except for companies, whose commitment is of a minimum duration of one year (tacitly renewable), the Purchaser has the right to terminate his or her subscription at any time by simply sending EcoTree an e-mail. The cancellation of the subscription will be effective, at the latest, three days after the request (the date of sending being taken as proof). The Purchaser remains the owner of the trees previously acquired. The effective termination is dependent on paying any excess delivery. Should the payment not be made, EcoTree reserves the right to change the client's portfolio to reach a null account balance. By subscribing to a tree subscription, as of May 25th, 2018, EcoTree guarantees the following benefits to our (non-professional) customers, as well as to all customers having already subscribed before the given date, without retroactive effect:
  • Exclusivity on rare species and trees with short expected time period left before cutting
  • Each year, a number of trees are offered, proportional to the number of monthly trees subscribed by the customer. EcoTree draws the customer's attention to the fact that the price of trees offered is at EcoTree's discretion. EcoTree also informs the customer that this exclusivity will only be accorded insofar as EcoTree has officially received the twelve equal and consecutive payments as required under the provisions regarding subscriptions. These provisions do not cover the subscriptions taken out by professionals.

Article 9: Sponsorship

EcoTree offers customers the opportunity to encourage other people (individuals and professionals) to subscribe to one of its offers in exchange for promotional benefits. You must be an active EcoTree customer who has purchased at least one of EcoTree's Offers. A private customer has the possibility to refer one or more people to EcoTree, however, the number of trees offered to you, who are referring is limited to 5. For the referral program to be validated, the referral code must be entered before registration. When someone, whom you have referred to EcoTree has purchased 10 trees (via orders or subscriptions), you will receives a free tree on your account. Self-referring or referring within the same household is not permitted. The one you refer to EcoTree must have a different email address and billing address than you. Only the end user of the product will be considered as someone who's referred to EcoTree. The one who's referred to EcoTree must use his or her own means of payment. The referral program operates in a private setting. The one you refer to EcoTree must be an acquaintance, friend or relative. Artificial orders to inflate the number of people you've referred will be excluded. EcoTree reserves itself the right to monitor the accuracy of the information provided by participants. Participants in this process (both if you refer someone, or if someone refers to you) must authorize any checks regarding the validity of their reference. If, after verification, disputed elements remain, the validation may be refused. The final validation of the referral only takes place once the legal withdrawal period has expired.

Article 10: The contractual relationship between EcoTree and its customers

EcoTree regularly owns and acquires forest areas. EcoTree drives the forest and maintains the trees until they eventually are cut down. The agreement between the Purchaser and EcoTree means that the Purchaser: • deposits an amount corresponding to a number of trees of the agreed type; and • obtains ownership of one or more trees. This right is also materialized by a ownership of a portion of the profits from the harvesting of the trees at the time of the trees being cut down. • The Purchaser does not receive revenue from the intermediate harvest, income from the forest, including hunting rights or other subsidies. In its annual management report, EcoTree will index the Purchaser's personal account based on an ad hoc audit by a forestry expert after each Harvest period, which confirms the quality of forest management and forestry. In view of the unpredictability of nature and the different methods of deforestation and reforestation that entail both the loss and emergence of trees, the number of trees sold by EcoTree is fixed under consideration of the range of a forest massif with a density of 1000 to 10 000 plants per hectare. EcoTree further draws the customer's attention to the special prerogatives granted to customers who own trees in the same forest area. Each customer owns both a tree (or several) and a portion of the profits from the harvesting of the trees at the time of the trees being cut down, located on the same area. As such, each customer has a portion of the sale proceeds from the cutting of trees that have reached their harvesting date on the area in question. Each customer correlatively agrees not to benefit from the revenues generated only by his own tree. It should be noted that the tree acquired by the client may disappear before it reaches its harvesting date. Even in the event of the disappearance of its tree for any reason whatsoever, in accordance with this article, the right of ownership shall be transferred, by real subrogation, to a portion of the proceeds of the final cut of trees that have reached their harvesting date on a given forest area as follows: Right on the products of the final cut = Product of the cut × amount excluding tax subscribed by X/total amount excluding tax subscribed on the given area It is specified that:

  • The "Product of the cut" is equal to the total product of the cut of the trees remaining on the forest area and having reached their harvest due date ;
  • The "amount subscribed by X" is equal to the sum of the trees multiplied by their respective purchasing price excluding VAT at T0 (*) purchased by the customer ;
  • The "total amount subscribed to on the given area" is equal to the sum of all the "amounts subscribed to" by each of the customers within the area. Total sum of the purchase prices excluding VAT of trees having reached their harvesting date at T(0) ; (*) T0: date of first marketing of trees on the EcoTree platform. As soon as the trees are acquired, the client mandates EcoTree to manage the acquired trees. The purpose of this mandate is to enable EcoTree to implement a management strategy designed to create the most value possible out of the forest areas. This mandate includes forest expertise and maintenance, such as mushroom treatment, clearing, pruning and thinning, etc. In addition, EcoTree reserves the right to use regular partners, such as and notably, forest experts or local forestry companies. EcoTree's obligation of good forest management is limited to the costs initially planned and provisioned. However, in the event that the massif would be destined to disappear, for reasons outside the obligation of good management of EcoTree, and when the amounts initially planned and provisioned initially planned would not be sufficient, to mitigate this hazard without affecting the general economy of the said forest area and disrupting the existing forestry management plan, EcoTree will have the possibility of carrying out an early cutting of trees held by customers (operating sacrifice). The latter will then receive the price resulting from this anticipated cut and its sale. The proceeds of this cut will be donated in proportion to the customers' commitment as set out below in this document - and the contractual relationship between the customer and EcoTree will thus end. Thus, investor rights would evolve into a pure claim on the proceeds of the cut, which would be paid in full to customers and not used for the repair of the massif. It is specified that an early cut in no way constitutes an intermediate thinning. The early cut is a hasty exploitation due to an overriding reason (storm, disease, fire, for example) which makes a future harvest uncertain. Intermediate thinning is an operation consisting in the premature removal (in accordance with the established forestry management plan) of certain trees for better environmental performance and productivity. Considering the risk of fire, or extreme weather or any other natural or criminal hazard, significant cuts may occur within a forest area, resulting from the occurrence of one of these hazards without affecting the general economy of the forest or disrupting the established forestry management plan. By definition, these cuts are exceptional in that they are not provided for in management documents and exorbitant than those necessary for good and habitual forest management. Where applicable, the following is provided:
  • All sums resulting from the unplanned cutting that will have been carried out (including windfall) will be deposited to a special purpose account; -The sums thus consigned will be added to the farm income to be paid to customers at the various deadlines as initially planned. These sums will be distributed in proportion to the amounts invested by customers, as entered in the registers. All products, including the sums deposited, will thus remain paid to customers according to the formula set out in these GTC. -When applicable, all compensation paid by insurers will be allocated to repairing the massif; the reforested parcels will constitute, if necessary, new forest stands (forest areas), which will be put up for sale by EcoTree. They will not, in any event, be added to the proceeds of the said forest. The decision to carry out an early harvest with repayment or an exceptional harvest with deposit will be made by an independent forestry expert. In addition, EcoTree will submit, in its annual management report, indexed in the Purchaser's Personal Space, an _ad hoc _audit of a forestry expert attesting of the quality of silviculture. EcoTree draws the customer's attention to the fact that he or she will not perceive revenues generated from hunting rights or any other subsidies as these revenues are collected by EcoTree in order to fund the maintenance costs that insure the healthy and sustainable development of the forest. EcoTree draws the customer's attention to the fact that the Landowner remains the owner of the land. By buying a tree, the customer participates in the financing of the purchase of the land by the Landowner. From the period ranging from the sale of trees until the final cut at harvesting date - which generates the forest sale revenues - it is stated that EcoTree undertakes: (i) not to form any contractual relation or grant any real rights of any kind whatsoever to a third party (real right on the property of others) on the forest area where EcoTree's trees are sold and located; (ii) and not to transfer ownership of the forest area (of the grounds) to a third party.

Article 11: Early transfer of trees by the Purchaser

EcoTree draws the Purchasers' attention to the fact that the value of his or her purchased Product, derives essentially from the sustainable commitment he or she makes to foster and support healthy forest management on the long-term corresponding to the life cycle of the acquired tree. Consequently, the Product might outlive the Purchaser depending on the harvesting date of the acquired species. EcoTree is not mandated to ensure the liquidity of its clients' financial assets. However, in the interest of sound management of its Purchasers' forest assets, and in order to ensure on their behalf the sustainability of the choices made in the management of the forest areas under EcoTree's supervision, EcoTree reserves the right, at its sole discretion, to purchase trees that would be on sale by some of its Purchasers. The Purchasers' attention is further drawn to the fact that this is merely a right of redemption and in no case an obligation. Each Purchaser may decide at any time to transfer the rights they have acquired to a third party. A feature is provided for this purpose and accessible in the personal space of each customer.

Article 12: Payment

Prices are indicated in Euros and include all taxes, unless otherwise stated on the website. The prices shown on the website may be modified at any time without notice. Such modifications will not be applicable to the orders for which the payment has already been confirmed by the banking service EcoTree works with. Any rejection of payment of an order by the banking service cancels the order. The costs resulting from the cancellation shall be borne by the user, without prejudice to any claim action that may be taken against him. Payments made on the website are made by credit card (Cards from the following networks: Carte Bleue, Visa, Eurocard/Mastercard or American Express are accepted) via Stripe, a secure payment system. No banking information is transmitted via the website: the Purchaser pays by entering the number, expiry date and security code on the back of his or her credit card online in the spaces provided for this matter on the form provided on EcoTree's Company Website. In the event that payment is proven to be irregular, incomplete or non-existent, for a reason attributable to the Purchaser, the sale of the Products will be cancelled. The resulting costs will be borne by the Purchaser, and a civil and/or criminal action may, if necessary, be brought up against the Purchaser. In order to ensure the security of transactions and consumers, EcoTree reserves the right to block any order that appears fraudulent or does not offer all the necessary guarantees in terms of online security payment. In this case, the Purchaser may nevertheless acquire one of the Products sold on the website by using other means of payment than the one that has been blocked. In addition, in the event of any irregularity with regards to payment of an order on the website, EcoTree reserves the right to record the details collected during this purchase on a list of payment incidents. If necessary, the User may not use these details to place other orders on the website. An e-mail will be sent to the e-mail address registered at the time of the order to inform the user and invite him/her to regularize the situation with our Customer Service.

Article 13: Intellectual Property

EcoTree is the owner of all intellectual property rights relating to the Website, it owns and holds the related user rights. Access to the EcoTree Website does not confer on the User any rights over the intellectual property rights relating to the Website, which remains the exclusive property of EcoTree The elements accessible on the Website, in particular in the form of texts, photographs, images, icons, maps, sounds, videos, software, databases, and data are also protected by intellectual and industrial property rights and other proprietary rights held by EcoTree. Except as provided in these General Terms and Conditions, the User or the Purchaser may not, under any circumstances, reproduce, represent, modify, transmit, publish, adapt, and adapt, in any medium whatsoever, by any means whatsoever, or exploit in any way whatsoever, all or part of the Website without the prior written consent of EcoTree. These General Terms and Conditions do not entail any transfer of any kind of intellectual property rights on the elements belonging to EcoTree for the benefit of the User. The Site, trademarks, designs, models, images, texts, photos, logos, graphic charters, software and programs, search engines, databases, sounds, videos, domain names, design or any other information or medium presented by EcoTree, without this list being exhaustive, are its exclusive property and are protected by their copyright, trademark, patent and any other intellectual or industrial property rights that are recognized under the laws in force. Any reproduction and/or representation, in whole or in part, of any of these rights, without the express authorization of EcoTree, is prohibited and would constitute an infringement. Consequently, the user is prohibited from any action or act likely to directly or indirectly infringe EcoTree's intellectual property rights. Under no circumstances may the User use, print or reformat the content of the EcoTree Company Site for any purpose other than private or family use. He or she undertakes not to download, reproduce, transmit, sell or distribute the content of the EcoTree website. This prohibition applies in particular, but not exclusively, to practices such as scrapping or the use of robots for the purpose of extracting or reproducing any element of the EcoTree Website, including offers of Products presented there, in particular for commercial purposes. The exploitation not previously authorized by EcoTree, for any reason whatsoever, of all or part of the EcoTree Website may be the subject of any appropriate action, including infringement proceedings. The insertion of hypertext links to any part of the Website is prohibited without prior written authorization from EcoTree.

Article 14: Use of the Website of the Company EcoTree

The use of any software downloaded from the website to access certain services is governed by the terms of the accompanying license. The Purchaser and/or the User undertakes not to install, copy or use this software before having previously acquiesced to the terms of this license. For any software not accompanied by a license, the Purchaser and/or the User is granted a temporary, private, personal, non-transferable and non-exclusive right of use on this software in order to be able to access, exclusively, the EcoTree company Website. By installing or using the software, the Purchaser and/or the User undertakes to comply with this condition. EcoTree neither warrants that its Website will be free from defects, errors or bugs nor that they may be rectified. Furthermore, EcoTree cannot guarantee that the Website will operate without interruption or failure or that it is compatible with any particular hardware or configuration of the Purchaser and/or User. EcoTree is in no way responsible for malfunctions attributable to third-party software. On no account shall EcoTree be liable for any type of foreseeable or unforeseeable material or immaterial damage (including any direct or indirect loss of profits, opportunity etc.) resulting from the use or inability to use its website in part or in whole. Finally, EcoTree cannot control all the websites to which it refers to via hypertext links, which only exist to facilitate the User's or Purchaser's searches. EcoTree is therefore not responsible for their content. Both the User and the Purchaser declare that they are aware of the characteristics and limitations of the Internet, in particular its technical performance, the response times for consulting, querying or transferring data and the risks related to communication security. Both the User and the Purchaser declare that they have verified that the computer configuration they use does not contain any viruses and that it is in perfect working order. In the event that the Website contains hypertext links to other sites, it is the responsibility of the Purchaser and/or the User to read the policies of the sites to which the EcoTree company refers to, particularly with regard to the protection of personal data. EcoTree does not make any commitment regarding any other website to which the Purchaser and/or User may have access via the Website. It cannot in any way be held responsible for the content, operation and access to these websites. Any creation of a link to its Website is subject to the prior approval of EcoTree.

Article 15: Protection of personal data

Data is collected by EcoTree once the User gives their consent. EcoTree ensures that all collected data is never given, leased or sold to third parties. EcoTree solely handles users' confidential information for the purpose of operating its Website. As acknowledged by the user, the collected nominative data will be processed in order to successfully complete orders. For this same purpose, their personal information may be communicated to EcoTree's providers. Moreover, EcoTree may collect site visitors' non-personal data, for the purpose of improving website functionalities (e.g. tracking the number of visitors on particular pages). In accordance with the Data Protection Act (Databeskyttelsesloven - LOV nr 502 of 23/05/2018), and the European Regulation 2016/679 relating to the protection of personal data you have a right to access, modify and delete your personal data. Article 16: Applicable law and jurisdictions

These General Terms and Conditions, and more generally the contractual relations established between the Purchaser and EcoTree, are subject to Danish law. Any dispute relating to their interpretation and/or execution shall be referred to the Danish judiciary.

Article 17: Force Majeure

Neither party will have failed to fulfil its contractual obligations, insofar as their execution will be delayed, hindered or prevented by a fortuitous event or a case of force majeure. The party affected by such circumstances will notify the other within 7 business days of becoming aware of them. Any irresistible fact or circumstance, external to the parties that is considered to be unforeseeable, inevitable, beyond control and which cannot be prevented by the parties involved, despite all reasonable efforts, shall be considered as a fortuitous event or force majeure. The two parties will then get together, within 30 days, to examine the impact of the event and agree on the conditions under which the execution of the order will be continued. If the fortuitous event or force majeure lasts longer than 60 days, the order for Products may be cancelled by the injured party. In addition, EcoTree extends the definition of both to: the blocking of means of transportation, the blocking of delivery or supply, earthquakes, fires, storms, floods, lightning, and/or the shutdown of telecommunication networks.

Article 18: Risks

The following types of risk are noted related to any purchase of trees at the EcoTree Website, as the risk are though not limited hereto: Risk of total or partial loss of capital A tree can fall in value, leading to the risk of total or partial loss of invested capital. Inflation risk Exchange rates may vary over time. There is therefore a risk of a fall in the currency, which may result in a lower return than inflation. Risk of lack of liquidity There is a long-term investment that varies depending on, among other things, when the tree is ready for harvesting. EcoTree does not guarantee the liquidity of its Purchaser's deposits. Customer may transfer it's right under these General Terms and Conditions to third parties. In that case, the Purchaser must notify EcoTree hereof following the applicable process, so that EcoTree can list the new customer. EcoTree reserves the right, at its sole discretion, to redeem the customer if its right is offered for sale by the Purchaser. This is practices at EcoTree's discretion and does not constitute an obligation of EcoTree to the Purchaser. EcoTree may therefore refuse to redeem the Purchaser. Risk related to the underlying markets and decline in wood prices The selling price for the final harvesting of mature trees in a forest area is subject to uncertainties relating, in particular to market fluctuations and in particular the possibility of harvesting tree prices or the possibility that the trees have no value or that the originally acquired species may not meet future demand. Danger of fire, weather, or other natural disaster - Lack of insurance to cover these risks Forest areas are subject to several natural risks. Natural risk, hazards and disasters (storm, disease, fire, etc.) may damage or destroy the trees. No insurance has been taken out to cover the risk of damage or damage to trees. There are also fire and weather-related risks (e.g. strong winds, heavy rainfall, rain, floods, storms, snow, ice, heat waves or extreme cold) or related to other natural hazards, which may result in a total loss of invested capital invested by the Purchaser. Credit risk The Purchaser also bears the credit risk of EcoTree's insolvency. This can result in a loss of invested capital.

Article 19: Insurance

EcoTree has taken out insurance with Skovdyrkerne, covering risks related to forest fires and storm damage.The client is expressly informed that in the event of compensation following a loss, the insurance will be used to repair the forest area concerned and will not compensate the Purchaser as his right is a right on the harvesting cut.

Article 20: Stipulation for third parties

When the Purchaser wishes to offer a third person the possibility of acquiring Products, it is agreed between the parties that the Purchaser may transfer their rights resulting from this contract to any third party of their choice. As soon as the designation of the beneficiary has been notified to EcoTree against acknowledgement of receipt, the Purchaser's rights and obligations under these General Terms and Conditions shall be transferred to the beneficiary. If the Purchaser decides to exercise their right of revocation, i.e. before the acceptance of the beneficiary, they must notify EcoTree against acknowledgement of receipt.

Article 21: Fight against corruption

EcoTree is committed to preventing and fighting fraud and corruption, in accordance with the provisions of the Money Laundering Act (Hvidvaskloven - LBK nr. 1782 of 27/11/2020) relating to transparency, the modernization of economic life and the fight against corruption. We intend that any person or company in relation to us adheres to the same principles and scrupulously respects the regulations in force. Consequently, any co-contractor or other partner of EcoTree: • formally refrains from implementing any practice of fraud or corruption, in any form whatsoever, in the context of its relations with EcoTree; • undertakes to take all reasonable measures to ensure that its managers, employees, subcontractors, agents or other third parties under its control comply with this obligation; • undertakes to inform EcoTree without delay of any conflict of interest or event which may be brought to its attention and which could result in obtaining an undue advantage, financial or of any other nature, or more generally the violation of applicable regulations, during its partnership with EcoTree. Any violation of the obligations defined in this article will be considered a serious breach authorizing EcoTree to terminate its relationship with its co-contractor or other partner without notice or compensation, but subject to all damages to which EcoTree may claim in the case of such a shortcoming.

Article 22: Communication

The Purchaser expressly acknowledges that its commitment to EcoTree is not part of a carbon offsetting process, but rather the continuation of a prior and indispensable process of reducing their greenhouse gas emissions. The client acknowledges that it has been warned that mentioning carbon sequestration figures in its communications is often tantamount to establishing a mathematical correlation between its carbon footprint and the forest and, in fact, to positioning the company in a carbon offsetting approach that EcoTree does not approve of. The Purchaser's commitment to EcoTree is a contribution to global carbon neutrality through developing forest carbon sinks. The impact of this commitment should never be over-communicated and should be proportional to the nature, the amount of the commitment, and the reality of the company's ecological transition. Furthermore, the client expressly refrains from communicating primarily about tree planting. This action is only ecologically justified if and only if it is accompanied by a genuine forest management policy (which above all favours the preservation of existing trees and natural regeneration) and the protection of ecosystems in the service of a living forest. The Purchaser also acknowledges that it has been warned of the harmful effects on the general public of a communication campaign to promote tree planting, which in no way constitutes, on its own, and even more so when it is carried out in an industrial manner, a solution to the climate crisis. The Purchaser expressly agrees to place at the heart of its communication the sustainable management of forests, which is the only guarantee of their biological diversity, productivity, regeneration capacity, vitality and ability to satisfy, now and in the future, the relevant economic, ecological and social functions at local, national and international levels, without causing harm to other ecosystems. If the client's communication of its commitment includes a promotion of its products and services, EcoTree recommends, in anticipation of the provisions of the Climate Resilience Act, that the carbon footprint of these products and services be displayed.

Article 23: Final provisions

The fact that EcoTree does not invoke, at any time or other, any of the provisions of these General Terms and Conditions shall not be construed as a waiver of its right to do so at a later date. Without prior notice or information and at any time, EcoTree reserves the right to revise and/or modify these General Terms and Conditions. In the event that one of the provisions of the General Terms and Conditions is declared null and void, it shall be deemed unwritten, without this affecting the validity of the other provisions, unless the provision declared null and void was essential and decisive.
